X.5 Award of Professional Service - Terra Noble Design

Resolution/Ordinance

              WHEREAS, the Township of Bloomfield has a need to acquire professional services for the preparation of design drawings, bid documents and construction administration services for the Lions Gate Butterfly Discovery Center; and

              WHEREAS, the Township desires to make this appointment under the provisions of N.J.S.A. 19:44A-20.5, as a non-fair and open contract; and

              WHEREAS, the Township Engineer has determined that the value of these services may exceed $17,500.00; and

              WHEREAS, this contract will end upon the completion of the project; and;

              WHEREAS, TerraNoble Design, P.A., 60 forest Avenue, Glen Ridge, New Jersey 07028 (hereinafter “Professional”) has submitted the attached proposal indicating they will provide the necessary services; and

              WHEREAS, the Professional has completed and submitted a Business Entity Disclosure Certification which certifies they have not made any reportable contributions to a political or candidate committee in the Township of Bloomfield in the previous one year and that the contract will prohibit the Professional from making any reportable contributions during the term of the contract; and

              WHEREAS, the Director of Finance has certified that funds are available to cover the cost of these services within the township’s open space trust fund account.

              NOW, THEREFORE, BE RESOLVED that the Mayor and Councill of the Township of Bloomfield authorizes the Township Engineer to enter into a contract with the Professional as described herein; and

              BE IT FURTHER RESOLVED, that no minimum payment is implied or guaranteed; and

                BE IT FURTHER RESOLVED, that the Business Entity Disclosure Certification, the Township Engineer’s Determination of Value, the proposal of the Professional and the contract itself be placed on file with this resolution; and  

              BE IT FURTHER RESOLVED, that the above documents shall be available for public inspection at the office of the Township Clerk during regular business hours; and

              BE IT FURTHER RESOLVED, that  Township reserves the right to cancel this contract upon thirty (30) days notice and the Professional shall only be paid for the work completed on a pro-rated amount if the contract calls for a monthly retainer; and

              BE IT FURTHER RESOLVED, that a notice of this action shall be printed once in the official newspaper of the Township of Bloomfield.

Mr. Lasek said his first item is a Non-Fair and Open award of contract for the Terra Noble Design to complete the design and construction administration of the DeSimone and Lion Gate property.

Councilman Joanow moved the request, which motion was seconded by Councilman Bernard for discussion.

Councilman Venezia asked if this could be done in phases. He said when the project is finished the goal is basically to plant trees and he feels that $50,000.00 is a lot of money for this contract.

Mr. Lasek said that based on discussions with the Mayor and Council and a few committee meetings attended by the Mayor and Councilman Joanow, they set a fairly aggressive schedule for this in order to get it done by the fall. He said in order to meet the deadline they needed to hire someone to start the work as soon as possible. Mr. Lasek said that if the project was to be broken down in phases, they would not meet the deadline.

Councilman Venezia said he would like to give them $15,000.00 now, let them come back to the Council and re-evaluate what he has done and if he needs the other $15,000.00 we can give it to him. He said that it is only his opinion, the $50,000.00 is to excessive of a cost.

Councilman Joanow said there are steps to the project and one step cannot happen without the other step being completed.

Mayor McCarthy said that if we end up pushing the project back, it has the potential of costing the Township more money.
